By accessing or using the Zyve platform—including any trial account, demo environment, or free tools—you agree to be bound by these Terms. If you do not agree to these Terms, do not use the platform.
Zyve grants you a limited, non-exclusive, non-transferable license to use the platform solely for lawful recruiting, hiring, or talent operations. You agree not to reverse engineer, decompile, resell, or misuse any part of the platform, including data enrichment tools, AI-generated outputs, or market intelligence modules. Any scraping, data harvesting, or use of bots is strictly prohibited.
You may be required to register an account to access certain features. You agree to provide accurate and complete information and to keep your credentials secure. Zyve offers a 3-day free trial; trial accounts may be suspended or terminated at any time at Zyve's discretion. Trial use is limited and non-transferable.
Subscription Plans. Zyve offers multiple subscription tiers (including Tier 1, Tier 2, Tier 3), each with different credit allotments and pricing. The current details of each plan are described on Zyve's Plan & Pricing page (or applicable order form), which is incorporated by reference into these Terms and may be updated by Zyve from time to time as provided below.
Credits. A "credit" means one (1) "enrich" action (i.e., enriching data to provide verified contact and/or company data such as email, mobile, LinkedIn profile, and related enrichment). Credits may also be used for outreach messaging, AI-powered features, and other defined platform actions. Unused credits expire at the end of each monthly billing cycle and do not roll over.
Billing. Fees are billed in advance on the first day of each calendar month and are non-refundable. If you begin a subscription on a date other than the first of the month, the full monthly fee applies and you receive the full monthly credit allotment (no proration).
Auto-Renewal & Cancellation. Subscriptions auto-renew monthly unless canceled with at least thirty (30) days' prior notice before the next renewal date.
Taxes; Late Fees; Suspension. Fees exclude applicable taxes, which are your responsibility. Late amounts may accrue interest at 1.5% per month (or the maximum permitted by law). Zyve may suspend access for non-payment after notice.
Price/Plan Changes on Renewal. Zyve may update subscription pricing, credit allotments, or billing structure from time to time. Changes take effect upon renewal of your subscription and will be communicated at least 30 days in advance. If you do not agree to the updated pricing, you may cancel prior to renewal without penalty.
Disputes. Any disputes regarding charges must be raised in writing within fifteen (15) days of the invoice date.
Access to Zyve features may be governed by a credit system as described above. You are responsible for monitoring your usage.
Zyve provides AI-generated content (e.g., job descriptions, emails, bios) for informational use only. Zyve makes no guarantees as to the accuracy, legality, or fitness for a particular purpose of any such output. You are responsible for verifying AI output before using it in your operations.
Zyve retains all ownership and intellectual property rights in and to the platform, software, and all associated content, excluding your uploaded data. Any unauthorized use or duplication is prohibited.
Zyve may provide onboarding support, including training, consultation, and workflow configuration as part of its customer success services. These services are provided at Zyve's discretion and may vary based on subscription tier or custom agreements. Zyve does not guarantee outcomes from onboarding activities, and Customer remains solely responsible for implementation and configuration of its recruiting workflows.
Ownership & Use. You retain ownership of all data submitted to the Zyve platform. Zyve may access and use such data solely to provide and improve the Services.
Privacy Policy. All data handling is governed by Zyve's Data Processing & Privacy Policy, incorporated herein by reference. Zyve will retain Customer Data for thirty (30) days following termination to allow for export upon request; thereafter, Zyve may delete such data.
Confidentiality. Each party agrees to maintain the confidentiality of non-public information disclosed by the other that is designated confidential or should reasonably be understood to be confidential, and to use such information only to fulfill obligations under these Terms. This does not apply to information that becomes public through no fault of the receiving party.
Zyve may suspend or terminate your access to the platform at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Zyve, its users, or third parties. Either party may terminate for material breach not cured within fifteen (15) days of written notice. Upon termination, access will be disabled, and Zyve will retain Customer Data for 30 days for export before deletion. Your obligations under Sections 2, 6, 7, 9, 11, and 12 will survive termination.
Zyve provides the platform "as is" and disclaims all warranties. To the fullest extent permitted by law, Zyve shall not be liable for any indirect, incidental, or consequential damages. Total liability shall not exceed the fees paid by you to Zyve in the twelve (12) months preceding the claim.
These Terms (and the Privacy Policy) shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal action must be brought in the courts of Delaware.
Zyve reserves the right to update or modify these Terms at any time. Continued use of the platform after such changes constitutes acceptance of the revised Terms. Zyve will maintain archived versions with effective dates.
These Terms, together with the Data Processing & Privacy Policy, and any plan, pricing, or order form referenced herein, constitute the entire agreement between you and Zyve and supersede all prior or contemporaneous agreements on the subject matter.
